Terms and Conditions for Mai

Welcome to Mai! These Terms and Conditions ("Terms") govern your access to and use of Mai, an AI-powered scheduling assistant that helps users create calendar events and send invites. By accessing or using Mai, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our service.

1. General Information About Mai

1.1 Service Description

Mai is an AI-powered scheduling assistant designed to simplify calendar management. By forwarding or cc/bcc-ing emails to Mai, users can create calendar events, send invites, and manage scheduling preferences. Mai integrates with third-party services such as Gmail and Google Calendar to provide its functionality.

1.2 Availability

Mai is available worldwide to users aged 16 and older. However, we do not guarantee that the service will be available in all countries or regions at all times. Access to Mai may be restricted in certain jurisdictions due to legal or technical reasons.

1.3 Account Registration

To access the full functionality of Mai, you must create an account. During registration, you may be required to provide accurate and up-to-date information, including your name, email address, and other details. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

1.4 Age Restriction

Mai is not intended for use by individuals under the age of 16. By using Mai, you confirm that you are at least 16 years old. If we discover that we have collected personal data from a user under 16, we will delete it immediately.

2. User Responsibilities

2.1 Acceptable Use

You agree to use Mai only for lawful purposes and in accordance with these Terms. You must not:

  1. Use the service in a way that violates any applicable laws or regulations.
  2. Send spam, unsolicited messages, or other forms of bulk communication through the service.
  3. Attempt to gain unauthorized access to the service, its systems, or other users' accounts.

2.2 Prohibited Uses

You may not use Mai:

  1. To engage in illegal, fraudulent, or harmful activities.
  2. To harass, abuse, or harm others.
  3. To upload or transmit viruses, malware, or other harmful content.
  4. To interfere with or disrupt the operation of the service, including overloading servers or attempting to bypass security measures.

2.3 User Content

You are solely responsible for the content of any emails, messages, or data you forward to Mai. By using the service, you confirm that you have the necessary rights and permissions to share such content.

3. Payment and Pricing

3.1 Subscription Model

Mai operates on a monthly subscription model, where users are billed on a monthly basis. Users can choose one of the following payment options:

  1. Monthly Payment: Users are billed at the start of each month for the upcoming month.
  2. Annual Prepayment: Users can prepay for 12 months of the monthly subscription in advance.

Regardless of the payment option selected, the subscription is calculated and managed on a monthly basis.

3.2 Payment Processing

Payments are processed securely through a third-party payment provider, Stripe. By subscribing, you agree to Stripe’s terms and conditions, which can be found here. We do not store your payment information; all payment details are handled by Stripe.

3.3 Renewals and Cancellations

  1. Automatic Renewals: Subscriptions automatically renew at the end of each paid month unless you cancel your subscription before the renewal date.
  2. Cancellation: You can cancel your subscription at any time through your account settings.
  3. If you cancel a subscription paid on a monthly basis, your subscription will remain active until the end of the current paid month, after which it will not renew.
  4. If you cancel a subscription paid on an annual prepayment basis, your subscription will remain active until the end of the current paid month. You will receive a refund for the unused months remaining in the prepayment period, calculated on a pro-rata basis.

3.4 Refund Policy for Annual Prepayment

Refunds for subscriptions paid on an annual prepayment basis are subject to the following conditions:

  1. Pro-Rata Refund: If you cancel a subscription paid annually in advance, you will be refunded for the unused months remaining in the prepayment period. The refund will be calculated based on the monthly subscription rate at the time of purchase.
  2. Discounted Subscriptions: If the annual prepayment was purchased at a discounted rate (e.g., through a promotion or special offer), the refund will be adjusted to reflect the discounted monthly rate.
  3. Processing Time: Refunds will be processed within 14 business days of cancellation.

Example:

  1. If you prepaid $120 for 12 months (equivalent to $10/month) and cancel after 5 months, you will be refunded for the remaining 7 months. The refund will be calculated as $10 × 7 = $70.
  2. If the annual prepayment was purchased at a discounted rate of $100 (equivalent to $8.33/month), the refund will be calculated as $8.33 × 7 = $58.31.

3.5 No Refunds for Monthly Payments

Refunds are not available for subscriptions paid on a monthly basis. If you cancel a monthly subscription, you will retain access to the service until the end of the current paid month, but no refunds will be issued for the remaining days of the month.

3.6 Changes to Pricing

We reserve the right to change subscription fees at any time. Any changes to pricing will be communicated to you in advance and will take effect at the start of your next billing cycle. If you do not agree to the new pricing, you may cancel your subscription before the next billing cycle begins.

4. Intellectual Property

4.1 Ownership

All intellectual property rights in Mai, including the software, branding, trademarks, logos, and content, are owned by Maical Ltd. These rights are protected by intellectual property laws worldwide.

4.2 Restrictions

You are prohibited from:

  1. Copying, modifying, distributing, or reverse-engineering any part of Mai.
  2. Using Mai’s trademarks, logos, or branding without prior written consent.
  3. Creating derivative works based on Mai’s software or content.

4.3 Feedback

If you provide feedback, suggestions, or ideas about Mai, you grant us a non-exclusive, royalty-free, perpetual license to use, modify, and incorporate your feedback into our service.

5. Liability and Disclaimers

5.1 Disclaimer of Warranties

Mai is provided "as is" and "as available" without any warranties, express or implied. We do not guarantee that the service will be error-free, uninterrupted, or meet your specific requirements.

5.2 Limitation of Liability

To the fullest extent permitted by law, Maical Ltd shall not be liable for:

  1. Any indirect, incidental, special, or consequential damages arising from your use of Mai.
  2. Loss of data, revenue, or profits resulting from service interruptions or errors.

Our total liability for any claims related to the service shall not exceed the amount you paid for the service in the 12 months preceding the claim.

5.3 Third-Party Services

We are not responsible for the availability, accuracy, or reliability of third-party services integrated with Mai, such as Gmail or Google Calendar.

6. Termination of Service

6.1 Termination by Us

We reserve the right to terminate or suspend your access to Mai at any time, without notice, if you violate these Terms, engage in prohibited activities, or if we are required to do so by law.

6.2 Termination by You

You may terminate your account at any time by cancelling your subscription. Your account will remain active until the end of the current paid period, after which it will be deactivated.

6.3 Effect of Termination

Upon termination, your access to the service will be revoked, and any data associated with your account may be deleted, subject to our Privacy Policy.

7. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

8. Third-Party Services

8.1 Integration with Third-Party Services

Mai integrates with third-party services, such as Gmail and Google Calendar, to provide its functionality. By using Mai, you agree to comply with the terms and conditions of these third-party services.

8.2 Disclaimer

We are not responsible for any issues arising from your use of third-party services. Your use of third-party services is at your own risk.

9. Changes to the Terms

We reserve the right to update or modify these Terms at any time. Any changes will be posted on our website, and the updated Terms will take effect immediately upon posting. Your continued use of Mai after the changes are posted constitutes your acceptance of the updated Terms.

10. Indemnification

You agree to indemnify and hold harmless Maical Ltd, its affiliates, and its employees from any claims, damages, or expenses (including legal fees) arising from:

  1. Your use of Mai.
  2. Your violation of these Terms.
  3. Your infringement of any third-party rights.

11. Force Majeure

We are not responsible for any delays or failures in performance caused by events beyond our reasonable control, including but not limited to natural disasters, power outages, internet disruptions, or acts of government.

12. Miscellaneous

12.1 Entire Agreement

These Terms constitute the entire agreement between you and Maical Ltd regarding your use of Mai and supersede any prior agreements.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 No Waiver

Our failure to enforce any provision of these Terms shall not be considered a waiver of our rights.
